Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and MONBARK LLC ("Company," "we," "us," "our"), a Michigan limited liability company, governing your access to and use of the Monbark mobile application and website at monbark.com (collectively, the "Service").

By creating an account or using the Service, you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them. If you do not agree, do not use the Service.

2. Description of Service

Monbark is a personal finance application that helps users understand their financial runway — the number of days until their money runs out at their current spending rate. The Service provides:

• Read-only bank account connectivity via Plaid Inc.
• Financial runway calculations
• Transaction tracking and categorization
• Bill and subscription detection
• Runway Challenge — goal-based runway building
• AI-powered Advisor chat
• Planning and budgeting (including group expense splitting)
• Goal tracking and spending analysis

3. Account Registration

To use Monbark, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account
• Not share your account with any other person
• Not create more than one account per person

We reserve the right to suspend or terminate accounts that violate these Terms or are used fraudulently.

4. Bank Connectivity and Financial Data

Monbark connects to your bank accounts through Plaid Inc., a third-party bank data provider. By connecting your bank account, you:

• Authorize Plaid to access your financial institution on your behalf
• Understand that access is strictly read-only — we cannot initiate transactions, transfers, or payments
• Agree to Plaid's terms of service and privacy policy
• Acknowledge that bank connectivity may be interrupted or terminated by your financial institution

We are not responsible for the accuracy, completeness, or timeliness of financial data provided by your bank through Plaid. Financial calculations in the app are estimates based on historical data and are not guarantees of future outcomes.

You may disconnect your bank account at any time through the app settings. Disconnecting does not automatically delete historical data; you must separately request account deletion.

5. Subscription and Payment

Monbark offers paid subscription plans processed through Apple's App Store:

• Monthly Plan: $12.99 per month
• Annual Plan: $110 per year (~$9.17/month)

All subscriptions:

• Are billed through your Apple ID and governed by Apple's payment terms
• Automatically renew unless cancelled at least 24 hours before the end of the current period
• Can be managed and cancelled in your iOS device Settings → Apple ID → Subscriptions
• Are non-refundable except as required by applicable law or Apple's refund policy

We reserve the right to change subscription pricing with 30 days notice. Price changes will not affect existing subscribers until their renewal date.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools, bots, or scrapers to access the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Transmit any malware, viruses, or malicious code
• Impersonate any person or entity
• Use the Service to commit fraud or financial crimes
• Share, resell, or sublicense your account access

7. Intellectual Property

The Service and all its contents, features, and functionality — including but not limited to software, text, graphics, logos, icons, and data — are owned by MONBARK LLC and are protected by United States and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use. You may not copy, modify, distribute, sell, or lease any part of the Service.

Your financial data remains yours. We claim no ownership over the personal financial data you sync through the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• Financial calculations or projections will be accurate or reliable
• The Service will meet your specific requirements
• Any errors will be corrected

Financial data displayed in the app is for informational purposes only. The Advisor chat, Runway Challenge suggestions, safe-to-spend amounts, and all other insights provided by the Service are not financial, investment, tax, or legal advice. You are solely responsible for your own financial decisions. We are not responsible for financial decisions made based on information in the app.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MONBARK LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Financial losses resulting from decisions made using the Service
• Unauthorized access to or alteration of your data
• Any other matters relating to the Service

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless MONBARK LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Any content you submit through the Service

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Discontinuation of the Service

You may terminate your account at any time by contacting us at support@monbark.com. Upon termination, your right to use the Service ceases immediately.

Sections 7, 8, 9, 10, 13, and 14 survive termination.

12. Third-Party Services

The Service integrates with third-party services including Plaid, Supabase, Anthropic, and RevenueCat. Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Michigan under the rules of the American Arbitration Association. You waive any right to a jury trial or class action proceeding.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

14. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and MONBARK LLC regarding the Service.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.

Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.

Assignment: You may not assign these Terms without our written consent. We may assign them freely.

Updates: We may update these Terms at any time. We will notify you of material changes via the app or email 30 days before they take effect. Continued use after the effective date constitutes acceptance.
